Process

1. We built the machine

We’ve spent years and millions of dollars architecting a generative sourcing and underwriting machine. Now we have the largest and highest quality $2-10m+ EBITDA deal database in the country, updated weekly.

2. You apply for free

There’s a simple one page agreement that basically says you can’t circumvent us if we intro you to a deal that you didn’t already pursue. (If you’re already in the hunt and have an simple email paper trail that shows it, no worries at all – our fee is waved.)

3. You get access to our deals for free

Our generative technology and team process an immense amount of new deals every week. After a foundational review process, our architecture usually selects around ~10-20 of the highest quality assets to contribute to the database. Note the free database only shows the deals from the last couple of years. If you pay for our premium version ($100k/yr), then you receive multiple years of deals in the lower middle market.

4. You flag the deals you want

You go through the database, find the deals you want, and then flag the deal identifiers to us in email.

5. You get introduced

We’ll connect you with the seller or broker or point you to the listing on an aggregation site. We should note, this is not always perfect – for example, often the asset is under LOI, the seller or broker has changed their mind or is simply not responsive anymore (all the usual small deal shenanigans). Of course, if that’s the case there’s no cost for our architecture (other than wasted time).

6. You get it under LOI

You find a deal you love and get it under LOI (and notify us).

7. You close and begin building

You close the deal and get started on building your platform. Concurrent with closing, we receive a 3% fee with the closing wires. We know this is hefty. However, our feeling is we’ve spent years and millions of dollars building our generative sourcing machine. So hopefully you understand that.

FAQ

How do you differ from a traditional deal sites?

First, those sites are typically passive and often market-places (or market place aggregation sites). Our generative machine is highly active in the market. Second, those sites typically specialize in smaller deals. We specialize in $2m+ EBITDA assets.

How do you differ from buyside brokers?

First, we’re free if you’re accepted (and if you apply and you’re accepted for priority access, the cost is $100k / year). Second, we target generalist deals.

If you analyze the deals, then they all must be quality right?

No, definitely not. Our architecture analyzes the deal but we often don’t have enough information. So there are many false positives (e.g. a deal looks attractive and but when you actually dig in, it’s fundamentally flawed in some way that our architecture missed). Please be prepared for that. That said, if you really mine the database and stay up-to-date every week, you’ll find good maybe great stuff.

You only do $2m+ EBITDA deals?

For the most part. Some of deals are smaller (or are growing so historical EBITDA is lower than $2m) and some deals are $10m+ EBITDA businesses.
